This Agreement ("Agreement") consists of the Terms and Conditions set forth below ("Terms and Conditions"). This Agreement constitutes the entire understanding of the parties (Seller: ExportersUS.com and Buyer: "Exporter, Importer"- "EXP/IMP") with respect to the subject matter of this Agreement and supersedes all prior understandings, whether written or oral, between the parties with respect thereto. In addition, by registering, you represent and warrant to ExportersUS.com (i) that you are 18 years old or older, (ii) that you are currently employed by said EXP/IMP (iii) that you have authority to enter into agreements and specifically this Agreement on behalf of such EXP/IMP (iv) such EXP/IMP agrees to be bound by the Terms and Conditions of this Agreement, and (v) that if such EXP/IMP requires agreements to be entered into in any manner other than as suggested by this Agreement that you will promptly send written confirmation to ExportersUS.com of such EXP/IMP acceptance of the terms set forth in this Agreement in the manner required by such EXP/IMP.

Basic Subscription: ExportersUS.com allows said EXP/IMP to list their products and services on the ExportersUS.com site, through the purchase of an annual subscription ("Basic Subscription"). EXP/IMP products and/or services will be accessible to a broad range of buyers via the ExportersUS.com site as well as its syndicated partners ("Public Marketplace"). All Public Marketplace exposure is included within the base subscription price. In addition to listing EXP/IMP products and services within Public Marketplace, the Basic Subscription allows the EXP/IMP to list a detailed company report and provides access to a monthly report of web traffic and performance, email a/c Biz, Auction service. Sales Inquiries: At no additional fee, ExportersUS.com will provide product inquiries ("Sales Inquiries") via the ExportersUS.com website ("ExportersUS.com ") to the EXP/IMP. Sales Inquiries are generated when a registered user on ExportersUS.com ("User") clicks to view a "Detailed Report" of the said EXP/IMP. The Detailed Report contains information about the EXP/IMP product(s) and offers additional information about the EXP/IMP product. The EXP/IMP will be notified (via e-mail) of the request for information. As a promotion to the Lead and Inquiry service, all Leads and Inquiries are included free with an Annual Basic Subscription.

If the Sales Inquiry service is chosen, the EXP/IMP agrees that Leads and Inquiries will be used for the direct contact of the User only. In addition, the EXP/IMP agrees not to pass the Lead and/or Inquiry on to third-parties outside of the sales process or to use the contact information in any external e-mail campaign without the express written consent of the Lead and/or Inquiry contact person at ExportersUS.com EXP/IMP agrees it will only use Lead and Inquiry information in accordance with all applicable laws and regulations.

ExportersUS.com MAKES NO EXPRESS OR IMPLIED WARRANTIES, CONDITIONS OR REPRESENTATIONS TO EXP/IMP WITH RESPECT TO THE SERVICES PROVIDED HEREUNDER OR OTHERWISE REGARDING THIS AGREEMENT, WHETHER ORAL OR WRITTEN, EXPRESS, IMPLIED OR STATUTORY AND EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, THE IMPLIED WARRANTY OF NON-INFRINGEMENT AND THE IMPLIED WARRANTY OR CONDITION OF FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL ExporterUS.com ITS AFFILIATES, SUBSIDIARIES AND/OR PARTNERS OR THEIR OFFICERS, DIRECTORS, AGENTS AND EMPLOYEES, HAVE ANY LIABILITY WHATSOEVER TO EXP/IMP OR ANY THIRD-PARTY FOR ANY (A) CONSEQUENTIAL, (B) SPECIAL, INCIDENTAL OR (C) ANY OTHER FORMS OF INDIRECT DAMAGE (S) OR FOR ANY PUNITIVE DAMAGE (S) OF ANY FORM OR NATURE WHATSOEVER, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, INDEMNITY, WARRANTY OR TORT (INCLUDING NEGLIGENCE), ARISING OUT OF OR OTHERWISE RELATING TO THE AGREEMENT.
